Content of the report:

The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna (“PKO BP S.A.” or “the Bank”) hereby reports that on 11 December 2009 the District Court of the City of Warsaw, XIII Commercial Division of the National Court Register registered the amendments to the Bank’s Statute, made on the basis of Resolution No. 40/2009 of the Ordinary General Meeting of the Bank held on 30 June 2009 and registered an increase of the Bank’s share capital from PLN 1,000,000,000 to PLN 1,250,000,000 by way of issue of 250,000,000 ordinary series D bearer shares. The total number of votes resulting from all issued shares, after registration of the increase of share capital, amounts to 1,250,000,000 and the structure of the share capital is as follows:

• 510,000,000 registered shares of A series;
  
• 105,000,000 bearer shares of B series;
  
• 385,000,000 bearer shares of C series;
  
• 250,000,000 bearer shares of D series.
