The report:

The Management Board of PKO Bank Polski SA (“Bank”) hereby informs that on 26 August 2020, pursuant to Art. 385 §1 of the Commercial Companies Code, the Bank’s Annual General Meeting (“AGM”) appointed the members of the Bank’s Supervisory Board:

 

  1. Mariusz Andrzejewski
  2. Grzegorz Chłopek
  3. Grażyna Ciurzyńska
  4. Zbigniew Hajłasz
  5. Marcin Izdebski
  6. Wojciech Jasiński
  7. Andrzej Kisielewicz
  8. Rafał Kos
  9. Krzysztof Michalski
  10. Piotr Sadownik

The Bank hereby informs that the State Treasury, as the Eligible Shareholder, pursuant to paragraph 11.1 of the Bank’s Articles of Association set the number of members of the Supervisory Board for 11.

Under the adopted resolutions mentioned above persons were appointed as the members of the Supervisory Board for another join term.

The State Treasury as the Eligible Shareholder, pursuant to paragraph 12.1 of the Bank’s Articles of Association, appointed:

  1. Zbigniew Hajłasz - for the position of the Chairman of the Supervisory Board.
  2. Marcin Izdebski - for the position of the Deputy Chairman of the Supervisory Board.

Biographical notes of appointed members of the Supervisory Board constitute attachments to this report.

Moreover, the Bank hereby informs that all members of the Supervisory Board appointed by the AGM (except Piotr Sadownik), declared that they don’t carry out any activities in competition with the Bank, in particular they don’t participate in any business competitive in respect of the Bank as a partner in a partnership; they don’t hold the position of a member of a body of any other legal entity which is in competition with PKO Bank Polski S.A. or carry out business activities on one’s own in competition with the Bank.

Mr. Piotr Sadownik declared that he is a member of a supervisory body of a company competing with the Bank - Bank Ochrony Środowiska S.A.

None of the members of the Supervisory Board appointed by the AGM is entered in the Register of Insolvent Debtors.
