The report:

The Management Board of PKO Bank Polski S.A. (“Bank”) informs that on 12 October 2021, pursuant to the Art. 385 § 1 of the Commercial Companies Code, the Bank’s Extraordinary General Meeting (“EGM”) dismissed the member of the Bank’s Supervisory Board Mr. Zbigniew Hajłasz.

Additionally the EGM - pursuant to Art. 385 § 1 of the Commercial Companies Code – appointed as members of the Bank’s Supervisory Board Mr. Tomasz Kuczur and Mr. Bogdan Szafrański.

Information about the appointed Supervisory Board members:

TOMASZ KUCZUR

A lawyer and political scientist. He graduated from the Faculty of Law and Administration of the University of Warmia and Mazury in Olsztyn and the Bydgoszcz Academy (currently the Kazimierz Wielki University). He received his PhD degree in Law Studies from the Faculty of Law and Administration of the University of Warmia and Mazury. He was nominated Dr Hab. in Social Sciences at the University of Wrocław, specializing in political systems. He is an associate professor at the Human Studies Faculty of the Kazimierz Wielki University in Bydgoszcz. Member of the Local Government Appeal Court in Bydgoszcz. Member of the Scientific Council of the Polish Sejm periodical Przegląd Sejmowy. Appointed by the Minister of Science and Higher Education to the Interdisciplinary Team for projects proposed under the “Support for Scientific Periodicals” programme.

BOGDAN SZAFRAŃSKI

An economist and Americanist, an expert in strategic management of finance, capital markets, policy and economy in the U.S.A., and in Polish-American relations. PhD in management from the Faculty of Management of the University of Warsaw, passed level II Chartered Financial Analyst (CFA) exams.

He graduated from the Merage School of Business of the University of California Irvine (UCI), where he obtained the title of Master of Business Administration (MBA) in Finance. Previously, he studied at the Faculty of Management of the University of Warsaw and at the Foreign Trade Faculty of the Warsaw School of Economics. He is also a graduate of doctoral studies in Economics at the University of California Los Angeles (UCLA).

He worked in high tech companies in California, U.S.A.: first at the Western Digital Corporation, then at Advanced Photonics, Inc. and then at Xsirius Superconductivity, Inc. He was member and then chairman of the supervisory board of Polam Credit Union in Los Angeles (the CU model was used in the establishment of SKOKs in Poland).

In later years he was, among other things, President of the ZEM Celma S.A. Group, Finance and Administration Vice President in Kapsch Telecom Sp. z. o.o., a telecommunication joint venture (National Grid, Energis, PKP) of Energis Polska Sp. z o.o., Deputy Chairman of the Management Board for the Strategic Cooperation of Shareholders, Strategy and Development Director in Tel-Energo S.A., Vice President for Finance in PKP Cargo S.A., finance restructuring advisor to the management board of Petrolot Sp. z o.o. and member of the management board for Finance and Business in PLK S.A.

In 1994 he passed an exam for candidates for supervisory board members and since then he was appointed member of many supervisory boards, including those of companies with the participation of the State Treasury (PFR S.A., Lotos Terminale S.A., ZEM Celma S.A., KWB Konin S.A., PKP PLK S.A.).

He engaged in independent consulting as MetaStrategy Consulting in the area of strategic management, value management (EVA), valuations of enterprises and M&A transaction consulting.

Lately, he lectured on Finance at the Faulty of Management and at the American Studies Center of the University of Warsaw, and at the Łazarski University. He comments economic and political events on the radio and television: on Telewizja Republika, TVP Info, TVN24 BiŚ, Radio Wnet, and writes articles on such topics as management, privatization, finance. He is a member of the Polish Community’s think tank in the USA Polonia Institute.

According to the submitted statements none of appointed  Supervisory Board members carry out any activities in competition with the Bank, in particular having the status of a partner in a civil law partnership or partnership or company which is in competition with the Bank, holding the position of a member of a body of any other legal entity which is in competition with the Bank or carrying out business activities on his own in competition with the Bank. Neither of them is registered in the Register of Insolvent Debtors, maintained on the basis of the Act of 20 August 1997 on the National Court Register.
