Legal grounds: § 5.1.22 of the Ordinance of the Minister of Finance of 19 October 2005 on current and periodical information provided by the issuers of securities The report: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna hereby informs, pursuant to Art. 385§1 of the Companies and Partnerships Code, in connection with Clause 11.2 of the Bank’s Articles of Association, the PKO BP SA Extraordinary General Meeting - originally convened for 6 March 2007 and continued, after adjournment, on 19 March 2007 - appointed Mr. Maciej Czapiewski as the PKO BP SA Supervisory Board member. Under the adopted resolution Mr Maciej Czapiewski was appointed with effect as of 19 March2007. The Minister of the State Treasury as the Authorised Shareholder, pursuant to Clause 11.1 of the Bank’s Articles of Association set the number of members of the Supervisory Board for 7 members. The following information about the appointed Supervisory Board member: Maciej Czapiewski 30 years old. Graduated from the Faculty of Management of the Poznań University of Economics and the Faculty of Law and Administration of the Adam Mickiewicz University in Poznań (specialisation: law). He is a chartered auditor. In the years 1997-2005 he worked at HLB Frąckowiak i Współnicy Sp. z o.o., a company of chartered auditors, where he earned professional experience in the area of audit, and was promoted to the position of the manager in charge of financial statements auditing. Since 2005 he has carried on his own business activity under the business name M2 Audyt. Since 2006 he has been the shareholder and the President of the Management Board of M2 Audyt Sp. z o.o., the company of chartered auditors. His professional experience includes, among others, auditing financial statements, preparing the financial parts of issuing prospectuses, preparing due dilligence reports, risk management, corporate mergers and de-mergers. He is a trainer in the area of IFRS. He was a trainee at Rover Body & Pressings Swindon, United Kingdom. Maciej Czapiewski:
- does not conduct any business on the outside of PKO BP S.A. that competes with the business of PKO BP S.A.,
- does not participate in any business competitive in respect of PKO BP S.A. as a partner in a partnership,
- is not a member of a governing body of a company competing against PKO BP S.A.,
- is not a member of a governing body of any other legal person competing against PKO BP S.A. Maciej Czapiewski is not registered in the Register of Insolvent Debtors.
