Legal basis: Paragraph 5.1.22 of the Ordinance of the Minister of Finance of 19 October 2005 on current and periodical information provided by issuers of securities The report: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna informs that pursuant to § 15.1.8 of the Bank’s Statutes, the Supervisory Board of PKO BP SA adopted on 8 December 2005 resolution appointing Mr Sławomir Skrzypek for the position of the Deputy President of the Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna. According to the adopted resolutions Sławomir Skrzypek appointed for the above position as of 20 December 2005 for the joint term of office of the Board which has started on 19 May 2005. Information about the appointed Management Board Member: Sławomir Skrzypek — Deputy President of the Management Board Mr. Skrzypek, 42, is a graduate of University of Technology in Gliwice and earned a degree in economics at the Warsaw School of Economics (SGH). He completed MBA program at University of Wisconsin – La Crosse as well as Business Management studies at Georgetown University. He also completed postgraduate studies in Management of Assets and Liabilities in the Polish Banking System at Cracow University of Economics and at Faculty of Law and Administration at Silesian University. Mr. Skrzypek is also qualified as a financial adviser. He had an internship with congressman office in United States Congress in Washington where he was working with legislature process in finance and banking issues and with Polish Affiliates by UN in New York. Between 1993 and 1997 he worked in Supreme Chamber of Control where he was in charge of controlling government and local administration as well as banking sector. From 1997 to 2000 he was a vice-president of National Fund for Environmental Protection and Water Management, responsible for Capital Department, International Affairs Department and Department of Water Protection and Water Management. In 2001 he worked as a financial advisor and conducted several lectures in management at Warsaw University, Warsaw Agriculture University and the Higher School of Management and Marketing. From April to May 2001 member of the board of IX National Investment Fund (named E. Kwiatkowski) delegated by the supervisory board. From May 2001 to January 2002 he was a member of the Polish Railways (PKP SA) board responsible for restructurization and corporate supervision. Since November 2002 he has been vice-president of Warsaw responsible for financial policy, investments and corporate supervision. He was:

  • a deputy chairman of the supervisory board of BOŚ SA Bank,
  • a chairman of the supervisory board of : Mielec–Diesel-Gaz Ltd., PTE EPOKA SA, Telekomunikacja Kolejowa SA,
  • a secretary of the supervisory board IX National Investment Fund (named E. Kwiatkowski),
  • a member of the supervisory board of BOŚ Brokerage House.

Currently, he is the chairman of supervisory board of Fund for Environmental Protection and Water Management. Sławomir Skrzypek:

  • does not conduct any business on the outside of PKO BP SA that competes with the business of PKO BP SA,
  • does not participate in any business competitive in respect of PKO BP SA as a partner in a partnership,
  • is not a member of a governing body of a company competing against PKO BP SA,
  • is not a member of a governing body of any other legal person competing against PKO BP SA.

Sławomir Skrzypek is not registered in the Register of Insolvent Debtors.
