Legal basis: Paragraph 5.1.31 of the Ordinance of the Council of Ministers on current and periodical information provided by issuers of securities dated 16 October 2001 The report: The Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna informs that on 7th April 2005, pursuant to § 15.1. p.7 and 8 of the Bank’s Statute, the Supervisory Board of PKO BP SA adopted 3 resolutions appointing:

  • Mr Andrzej Podsiadło at the post of President of the Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna,
  • Mr Kazimierz Małecki at the post of Vice President, First Deputy President of the Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna,
  • Mr Jacek Obłękowski at the post of Member of the Management Board of Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna.

According to the adopted resolutions the above indicated managing persons, were appointed to the above posts for term of office of the Board, beginning with the day of the Ordinary General Meeting of PKO BP SA, approving the financial report of PKO BP S.A. for 2004. Information about the appointed Management Board Members Andrzej Podsiadło – President of the Management Board 54 years old. Mr. Podsiadło has been President of the Management Board since 20 June 2002. He is a university graduate with a degree in economics and earned a PhD in economic sciences and is an alumnus of the Central Higher School of Planning and Statistics (Szkola Glowna Planowania i Statystyki) in Warsaw where he was employed . as an academic teacher at the Central Higer School of Planning and Statistics. From 1978 and until 1988 he served as director of the Economic Policy Team and as director of the Economic Analysis Team in the Planning Commission at the Council of Ministers. Between 1989 and 1992 he worked at the Ministry of Finance, first as Under Secretary and later as Secretary of State. In 1992 he was appointed as the president of the management board of Powszechny Bank Handlowy Gecobank S.A., and served as such until 1994. In the years 1994 through 1995 he served as vice-president of the management board of PKO BP. In 1995 he was appointed as the president of the management board of Powszechny Bank Kredytowy S.A., and served in this function until 2002. Mr. Podsiadlo was chairman of the supervisory board of Gornoslaski Bank Gospodarczy S.A., Powszechne Towarzystwo Emerytalne PBK S.A. (PTE Ergo Hestia S.A.) and Bank Pekao S.A., chairman and deputy chairman of the supervisory board of TUiR Warta, and member of the supervisory board of Polskie Koleje Panstwowe, Huta Katowice S.A., Fabryka Samochodow Malolitrazowych w Bielsku-Bialej, Bank Wschodni S.A. in Bialystok and Polska Fundacja Promocji Kadr. He was also the president of the head management board of the Polish Red Cross, a member of the curriculum board of Warsaw Banking School (Warszawska Szkola Bankowa), a member of the Council of Banks under the patronage of the president of the National Bank of Poland and a representative of Poland on the board of the International Bank of Economic Cooperation in Moscow and the board of the International Investment Bank in Moscow. He is currently the vice-president of Union of Polish Banks (Zwiazek Bankow Polskich) and member of the board of the National Museum in Warsaw. Pursuant to the acquisition of 25,0001% shares of Bank Pocztowy S.A. by the Bank, Mr. Podsiadło became the member of the supervisory board of Bank Pocztowy S.A. as from 8 September 2004. Kazimierz Małecki – Vice-President, First Deputy of the President of the Management Board 53 years old. Mr. Małecki has been Vice-President, First Deputy of the President of the Management Board since 4 July 2002. He is responsible for overseeing the planning, restructuring and capital markets operations of the Bank and he is the Chairman of the ALCO and the Steering Committee for the central IT platform. He is a graduate of the University of Warsaw with a degree in law. He qualified to practice law as a legal advisor. He started work in 1978 at the Offices of the Lower House of Parliament in Poland (Kancelaria Sejmu), where until 1987 he held various posts from trainee to director of the legal department. Between 1987 and 1989 he worked at the Office of the Council of Ministers as Under Secretary of State and later as Secretary of the Council of Ministers. In the years 1989 to 1991, he was the deputy head of the Office of the President of the Republic of Poland. Between 1991 and 1993, he worked at the Office of the Council of Ministers as Secretary of State and later as Secretary of the Council of Ministers. In 1993, he was appointed vice‑president, first deputy of the president of the management board of Polski Bank Inwestycyjny S.A. and served as such until 1996. Between 1996 and 2001, he was the vice president of the management board of Powszechny Bank Kredytowy S.A. Between January and July 2002, he acted as a representative of the Banking Supervisory Commission at PKO Bank Polski. He serves as chairman of the supervisory boards of PTE Bankowy and PKO/CS TFI, subsidiaries of the Bank. Jacek Obłękowski – member of the Management Board 40 years old. Mr. Obłękowski has been a member of the Management Board since 20 June 2002. He is responsible for overseeing the retail market operations of the Bank and he is deputy Chairman of the Steering Committee for the central IT platform. He is a University graduate and an alumnus of the Higher School of Pedagogy (Wyzsza Szkola Pedagogiczna) in Olsztyn. He started his professional career at Powszechny Bank Gospodarczy S.A. in 1991, where he worked until 1998, initially as a trainee and, following several promotions, as a director of the Network Management Department. In September 1998, he started working at the Bank as director of the Retail Banking Division, director of the Marketing and Sales Department, acting director of the Office for Servicing Compensation Payments and managing director of the Network Division. Between December 2000 and June 2002, he acted as the director responsible for supervision of the business aspects of implementing the central IT platform at the Bank. He is also chairman of the supervisory board of Inteligo. Pursuant to the acquisition of 66,65% of shares of KBU by the Bank, Mr. Obłękowski became the member of the supervisory board of KBU as from 3 September 2004. None of the above indicated managing persons conducts any business that is compete to business of PKO BP. None of the above indicated managing persons participate in a competitive business against PKO BP whether as partner in civil company or partnership. None of the above indicated managing persons is member of a governing body of a company competing against PKO BP nor governing body of any other legal person competing against PKO BP. None of the above indicated managing persons is registered in the Register of the Insolvent Debtor.
