The report:

The Management Board of PKO Bank Polski S.A. (the “Bank”) informs that Mr. Mieczysław Król resigned from the composition of the Bank's Management Board effective as of 13 April 2023 and Bank’s Supervisory Board dismissed Mr. Maks Kraczkowski from the Bank's Management Board  effective as of 13 April 2023.

At the same time, the Supervisory Board appointed Mr. Dariusz Szwed to the  Bank’s Management Board from 14 April 2023 as its Vice President for the current joint term of office of the Bank's Management Board, which started as of 3 July 2020, and subject to approval  of the Polish Financial Supervision Authority and as of the date of this approval, the Board appointed him for the position of the President of the Management Board. Until such approval by the Polish Financial Supervision Authority, the Supervisory Board has entrusted Mr. Dariusz Szwed with directing the work of the Management Board.

Information of the person newly appointed to the Bank's Management Board

Dariusz Szwed

Dariusz Szwed has got almost 30 years’ experience in the financial sector. Since 2021, he was the Member of the Management Board of Bank Gospodarstwa Krajowego in which he recently supervised the area of business and banking operations, following supervising earlier the areas of IT, European funds and implementation of the internal pillar “Digital and process transformation, within bank’s strategy 2021-2025”.

In the years 2019 - 2021 he was the Vice President of the management board of Alior Bank, where he supervised the entire bank's business - sales and products for retail and business customers, treasury activities, private banking area and a brokerage office. At the same time, he was the president of the management board of Alior TFI. He was also a member of several committees, including the credit committee. Previously, since 1995, he worked in Santander Bank Polska, recently as the director of the private banking department, where he was responsible for supervision over comprehensive business activities, including operational, credit and reputational risk in this area. He also supervised the retail activity of the bank's brokerage office. He was also a member of the team managing the merger of Santander Bank Polska and the separated part of Deutsche Bank, where he was responsible for the analysis and implementation of business solutions in the merged bank.

Graduate of the banking and finance faculty of WSB University of Poznan and management faculty of Czestochowa University of Technology. He also holds a diploma from SGH Warsaw School of Economics in corporate finance management.

According to the submitted statement Mr. Dariusz Szwed from the day of the appointment will not carry out any activities in competition with the Bank, in particular having the status of a partner in a civil law partnership or partnership or company which is in competition with the Bank, holding the position of a member of a body of any other legal entity which is in competition with the Bank or carrying out business activities on his own in competition with the Bank. Mr. Dariusz Szwed is not registered in the Register of Insolvent Debtors, maintained on the basis of the Act of 20 August 1997 on the National Court Register.
