the Report:
The Management Board of PKO Bank Polski S.A. (the “Bank”) with reference to Current Report No. 1/2023, concerning a notification about the increase by Powszechne Towarzystwo Emerytalne Allianz Polska Spółka Akcyjna (“PTE Allianz Polska S.A.”) in the share capital and in the total number of votes in the Bank above 5%, hereby informs that on 17 May 2023 it received from PTE Allianz Polska S.A., the manager of Allianz Polska Otwarty Fundusz Emerytalny (“Allianz OFE”) a notice informing that pursuant to Article 69 section 1 of the Act of 28 August 1997 on the organisation and operation of pension funds (i.e. Journal of Laws of 2022, item 2342, as amended) on 12 May 2023, as a result of the liquidation of the Drugi Allianz Polska Otwarty Fundusz Emerytalny (“Drugi Allianz OFE”) thorough the transfer of its assets to Allianz OFE, the share in the total number of votes in the Bank on the accounts of Allianz OFE was above 5%.
Prior to the liquidation of Drugi Allianz OFE, the total number of shares on the accounts of Allianz OFE and Drugi Allianz OFE amounted to 104,137,594 shares in the Bank, which together represented 8.33% of the Bank's share capital and gave the right to exercise 104,137,594 votes representing 8.33% of the total number of votes at the Bank's Annual General Meeting ("AGM").
Following the liquidation of the Drugi Allianz OFE, 104,137,594 shares, representing 8.33% of the Bank's share capital, were credited to the account of Allianz OFE, giving the right to exercise 104,137,594 votes from shares representing 8.33% of the total number of votes at the Bank's AGM.
At the same time PTE Allianz Polska S.A., managing Allianz OFE, informs that: it has no subsidiaries holding shares in the Bank; situation described in Article 69 section 4 item 6 of the Act of 29 July 2005 on public offering and the conditions for introducing financial instruments to the organised trading system and on public companies does not occur; it does not hold any financial instruments referred to in Article 69b section 1 item 1) and 2) of the Act of 29 July 2005 on public offering and the conditions for introducing financial instruments to the organised trading system and on public companies.
