The report:

The Management Board of PKO Bank Polski S.A. (“Bank”) hereby informs that on 2 February 2024, pursuant to Art. 385 § 1 of the Commercial Companies Code, the Bank’s Extraordinary General Meeting (“EGM”) dismissed the members of the Bank’s Supervisory Board:

  1. Mariusz Andrzejewski,
  2. Wojciech Jasiński,
  3. Dominik Kaczmarski,
  4. Rafał Kos,
  5. Tomasz Kuczur,
  6. Maciej Łopiński,
  7. Robert Pietryszyn,
  8. Bogdan Szafrański.

At the same time, the Bank informs that the EGM appointed to the Bank’s Supervisory Board:

  1. Maciej Cieślukowski,
  2. Hanna Kuzińska,
  3. Szymon Midera,
  4. Andrzej Oślizło,
  5. Marek Panfil,
  6. Marek Radzikowski,
  7. Paweł Waniowski,
  8. Katarzyna Zimnicka-Jankowska.

The State Treasury as the Eligible Shareholder, pursuant to paragraph 12.1 of the Bank’s Articles of Association, appointed:

  1. Katarzyna Zimnicka-Jankowska - for the position of the Chairman of the Supervisory Board.
  2. Paweł Waniowski - for the position of the Deputy Chairman of the Supervisory Board.

Biographical notes of appointed members of the Supervisory Board constitute the attachment to this report.

Moreover, the Bank hereby informs that all members of the Supervisory Board appointed by the EGM declared that they don’t carry out any activities in competition with the Bank, in particular they don’t participate in any business competitive in respect of the Bank as a partner in a partnership; they don’t hold the position of a member of a body of any other legal entity which is in competition with the Bank or carry out business activities on one’s own in competition with the Bank.

None of the members of the Supervisory Board appointed by the EGM is entered in the Register of Insolvent Debtors.
