Paragraph 16 of the Regulation of the Minister of Finance on 29 March 2018 on the current and periodic information published by issuers of securities and the conditions for considering as equivalent the information required by law of a non-member state

 

the Report:

With reference to the report No. 13/2024 the Management Board of PKO Bank Polski S.A. (“Bank”) hereby announces that on 23 February 2024  it closed the subscription for 5 years senior non preferred notes with a total nominal value of PLN 1,000,000,000.

The issuance of notes is carried out under Programme for the issue of own bonds on the domestic market.

Taking into consideration the intention to introduce the bonds to the listing on the regulated market in Warsaw, the Management Board of the Bank informs as follows:

  1. Subscription opening date: 22 February 2024;
  2. Subscription closing date: 23 February 2024;
  3. Bonds initial allocation date: 23 February 2024;
  4. The number of bonds covered by the subscription: 2,000 bonds;
  5. Reduction rate in specific tranches, if at least in one of the tranches the number of allocated bonds was lower than the number of subscribed bonds: the bonds are to be issued in one tranche with the reduction rate of 55.1 %;
  6. The number of bonds subscribed: 4,458 bonds;
  7. The number of bonds which we allocated within the subscription: 2,000 bonds;
  8. The price of acquisition of the bonds: 100 % par value;
  9. The margin component of the variable interest rate on the bonds was set at 159 basis points;
  10. Notes were issued with 5 years tenor with an option for a call after 4 and 4.5 years since issuance (28 February 2028 and 28 August 2028);
  11. The number of persons which subscribed the bonds in specific tranches: 66 persons;
  12. The number of persons to whom the bonds were allocated within the subscription in specific tranches: 59 persons;
  13. The name of underwriters who acquired the bonds under underwriting agreement: not applicable;
  14. The aggregate nominal amount of subscription, i.e. the product of number of bonds under the offering and the issue price: PLN 1,000,000,000 (in words: one billion zlotys);
  15. The total costs which were included in the issuance costs: the Bank will disclose such information in an updated current report after it has received and accepted all the invoices connected with the issuance;
  16. The average cost of subscription per one subscribed bond: the Bank will disclose such information in an updated current report after it has received and accepted all the invoices connected with the issuance;
  17. The way of payment for bonds to be acquired: the payment will be made to the Bank's account.
